This Agreement (the “Agreement”) is made as of the [Date] by and between the [Seller], on the one hand, and the [Buyer], on the other hand, concerning the sale of one (1) Suzuki Baleno 2022 (the “Car”). The Car is being sold for two hundred million Indonesian rupiah (IDR200,000,000). The parties agree that the following terms and conditions shall apply to the sale and purchase of the Car: 1. Delivery and Payment. The Seller shall deliver the Car to the Buyer in the condition in which the Car currently is, with no representations or warranties regarding the Car (“Sold as Is”). Upon delivery, the Buyer shall pay to the Seller the purchase price of two hundred million Indonesian rupiah (IDR200,000,000) in full and in good and immediately available funds. 2. Title and Risk of Loss. The Buyer shall assume title to the Car and bear the risk of loss of the Car upon payment in full of the purchase price. 3. Taxes. The parties agree that the Buyer shall bear sole responsibility for any and all taxes and fees associated with the sale and purchase of the Car. 4. Governing Law. This Agreement shall be construed and enforced in accordance with the laws of Indonesia.
